These Terms of Service (“Terms”) govern the wholesale purchase and use of products and services offered by K-Puff LLC (“K-Puff,” “we,” “us,” “our”) through our website https://k-puff.com (“Site”).

By applying for a wholesale account, placing an order, or otherwise engaging in business with K-Puff, you (“Buyer,” “you,” or “your”) agree to these Terms and our Privacy Policy and Disclaimer.

1.1. Wholesale access is limited to state-licensed cannabis businesses that are legally authorized to buy, possess, and resell THC and related products.
1.2. Proof of licensure (state cannabis license, EIN, reseller permit, or equivalent documentation) is required before orders are processed.
1.3. K-Puff reserves the right to verify licensing status at any time and may suspend or terminate accounts that fail verification.

2.1. Buyer is solely responsible for ensuring compliance with all applicable local, state, and federal cannabis laws.
2.2. Buyer must not transport, distribute, or resell K-Puff products in any jurisdiction where cannabis or THC is restricted or illegal.
2.3. K-Puff does not ship products across state lines or to any location where sale or possession of cannabis products violates law.

3.1. All prices listed on the Site are wholesale-exclusive and subject to change without notice.
3.2. Minimum order quantities may apply.
3.3. Orders are not final until confirmed in writing by K-Puff.
3.4. K-Puff reserves the right to reject any order for any reason, including licensing issues or inventory availability.

4.1. Payment must be made through approved methods (ACH, card, crypto, or other as specified).
4.2. Orders must be paid in full before fulfillment unless a written credit agreement exists.
4.3. Late or returned payments may incur fees or account suspension.

5.1. K-Puff delivers only within the State of New Mexico, following state-approved transport regulations.
5.2. Buyer is responsible for providing accurate delivery information and ensuring an authorized agent is available to receive shipments.
5.3. Risk of loss passes to Buyer once products are transferred to the Buyer’s possession or designated carrier.

6.1. All products are inspected before shipment to ensure compliance with state testing and labeling standards.
6.2. Due to the perishable and regulated nature of cannabis, all sales are final.
6.3. Defective or damaged products must be reported within 48 hours of delivery for review. K-Puff may, at its discretion, issue replacements or credits.

7.1. Buyer may not alter, repackage, or mislabel K-Puff products without written consent.
7.2. Use of the K-Puff name, logo, or likeness in advertising requires written approval.
7.3. Unauthorized use of K-Puff trademarks constitutes a violation of intellectual property law.

8.1. Buyer agrees to K-Puff’s Privacy Policy, including collection of business and transactional data for compliance, analytics, and account management.
8.2. Buyer data will not be sold or shared outside of necessary operations (e.g., payment, delivery, or regulatory reporting).

9.1. K-Puff is not liable for indirect, incidental, or consequential damages arising from use or resale of its products.
9.2. Total liability for any claim shall not exceed the purchase price of the specific order giving rise to the claim.
9.3. Buyer assumes full responsibility for compliance and resale under applicable law.

10.1. K-Puff may suspend or terminate Buyer’s account for:

• Providing false or expired licensing documents
   
• Violating these Terms
   
• Non-payment or chargeback disputes
  10.2. Upon termination, any pending orders may be canceled without liability to K-Puff.
   

11.1. These Terms are governed by the laws of the State of New Mexico.
11.2. Any dispute shall be resolved by binding arbitration in Bernalillo County, NM, under the American Arbitration Association rules.
11.3. Each party bears its own legal costs.

K-Puff reserves the right to update or modify these Terms at any time without prior notice. Continued use of the Site or placement of orders constitutes acceptance of any revisions.
